These Terms of Use and Terms of Service (“TOU”) govern your access to and use of adsitepro.com. If you want to access or otherwise use our website, services or mobile apps ("App"), or any other service in conjunction or in partnership with adsitepro.com (collectively “adsitepro.com”), you willfully and acknowledge to agree to the terms set forth in these TOU. You acknowledge and agree adsitepro.com is a privately-owned website, owned and operated by Ace 1 Group, Inc. If you are accessing or using adsitepro.com on behalf of a business entity, you represent and warrant to adsitepro.com that you have authority to accept the adsitepro.com TOU on behalf of that business. In effect, if you do not agree to the TOU, you are NOT authorized to use adsitepro.com [or download the adsitepro.com App]. You are responsible for periodically checking for changes in the TOU and are bound by them if you continue to use adsitepro.com. All policies, including privacy policies, site rules, and agreements referenced below or located within adsitepro.com are fully incorporated into these TOU, and you hereby agree to them as well. We may modify or change the TOU at any time at our own sole discretion.
Disclaimer for a "verified business": There is now way we can garantee a verified busines status is an actual business nor can we garantee any of their products or services or their ad(s) or business' legitimacy or ownership.
LICENSE. If you agree to the TOU and (1) are of sufficient age and capacity to use adsitepro.com and be bound by the TOU, or (2) use adsitepro.com on behalf of a business, thereby binding such business to the TOU, we grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferrable non-assignable license to use adsitepro.com in compliance with the TOU; unlicensed use is unauthorized by adsitepro.com. You agree not to reroute content of any kind, distribute, display, "frame" or make derivative works, license, or sell any content gleaned from the adsitepro.com website [or App], excluding postings you create on adsitepro.com's website [or App]. You agree to and grant adsitepro.com a perpetual, irrevocable, unlimited, worldwide, fully paid or royalty-free, transferable, and sublicensable license and permission to use, display, distribute, copy and make derivative works from content you create and post through or on adsitepro.com [or App].
USE. Unless licensed by us in a separate written or electronic agreement, you agree not to use or provide software (except our [App] and general-purpose web browsers and email clients) or services that interact or interoperate with adsitepro.com, e.g. for downloading, uploading, creating/accessing/using an account, posting, flagging, emailing, searching, or mobile use. You agree not to copy or collect any adsitepro.com content via robots, spiders, scripts, scrapers, crawlers, or any automated or manual equivalent (e.g., by hand). Misleading, unsolicited, and/or unlawful postings/communications/accounts are prohibited, as is buying or selling accounts. You agree not to post content that is prohibited by any of adsitepro.com's policies or rules referenced above ("Prohibited Content"). You agree not to abuse adsitepro.com's flagging or reporting processes. You agree not to collect adsitepro.com user information or interfere with adsitepro.com. You agree we may moderate adsitepro.com's access/use in our sole discretion, e.g., by blocking, filtering, re-categorizing, re-ranking, deleting, delaying, holding, omitting, verifying, or terminating your access/license/account. You (1) agree not to bypass said moderation, (2) acknowledge that adsitepro.com is not liable to you for moderating or not moderating, and (3) acknowledge that nothing adsitepro.com says or does waives our right to choose to moderate, or not. Unless licensed by us in a separate written or electronic agreement, you agree not to (a) rent, lease, sell, publish, distribute, license, sublicense, assign, transfer, or otherwise make available adsitepro.com or our application programming interface ("API"), (b) copy, adapt, create derivative works of, decompile, reverse engineer, translate, localize, port or modify the App, the API, any website code, or any software used to provide adsitepro.com, (c) combine or integrate adsitepro.com or the API with any software, technology, services, or materials not authorized by adsitepro.com, (d) circumvent any functionality that controls access to or otherwise protects adsitepro.com or the API, or (e) remove or alter any copyright, trademark or other proprietary rights notices. You agree not to use adsitepro.com or the API in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or another right of any person, or that violates any applicable law in itself.
ALL CONTESTS: Any person(s) or business(es) using adsitepro.com and is enrolled in a contest from adsitepro.com agrees to abide by all rules and regulations for said contest. And said person(s) or business(es) are bound by all terms, regulations, and rules.
REWARDS: Any person(s) or business(es) using adsitepro.com and is enrolled in the rewards program agrees to abide by all rules and regulations for the rewards program.
FEES & AD POSTS. In accordance with any fee agreement, when you make a paid posting, you authorize adsitepro.com to charge your account. You shall be responsible for any tax associated with such paid posting. Fees are non-refundable, even for posts we remove, flagged ads, delay, refuse, omit, re-categorize, re-rank, or otherwise moderate. You acknowledge that adsitepro.com may refuse any posting at its sole discretion.
Do not place place inappropriate ads or anything to do with drugs, sexual/adult content, guns or ammo. These are prohibited ads for our website and we do not allow them. If you load money to your account and create an ad of this type you will not receive a refund for the money you've spent for these types of ad(s).
DISCLAIMER & LIABILITY. To the fullest extent permitted by law, adsitepro.com, and its officers, directors, employees, agents, licensors, affiliates, and successors in interest ("Affiliates") (1) make no promises, warranties, or representations as to adsitepro.com, including its completeness, accuracy, availability, timeliness, propriety, security or reliability; (2) provide adsitepro.com on an "AS IS" and "AS AVAILABLE" basis and any risk of using adsitepro.com is assumed by you; (3) disclaim all warranties, express or implied, including as to accuracy, merchantability, fitness for a particular purpose, and non-infringement, and all warranties arising from course of dealing, usage, or trade practice; and (4) disclaim any liability or responsibility for acts, omissions, or conduct performed by you or any party in connection with adsitepro.com. The Affiliates are NOT liable for any direct, indirect, consequential, incidental, special, punitive, or other losses, including lost profits, revenues, data, goodwill, etc., arising from or related to your use of adsitepro.com or the App, and in no event shall such liability exceed $100.00 or the amount you paid us in the year preceding such loss, whichever amount is lower. Some jurisdictions restrict or alter these disclaimers and limits, so some may not apply to you.
CLAIMS & INDEMNITY. Any claim, cause of action, demand, or dispute arising from or related to adsitepro.com ("Claims") will be governed by the internal laws of the State of Washington, without regard to conflict of law provisions, except to the extent governed by U.S. federal law. Any Claims will be exclusively resolved by courts in Seattle, Washington. (except we may seek preliminary or injunctive relief anywhere). You agree to (1) submit to the personal jurisdiction of courts in Seattle, Washington; (2) indemnify and hold adsitepro.com and the Affiliates harmless from any Claims, losses, liability, or expenses (including reasonable attorneys' or legal fees) that arise from a third-party and relate to your use of adsitepro.com; and (3) be liable and responsible for any claims we may have against you, your officers, directors, employees, agents, affiliates, or any other party, directly or indirectly, paid, directed or controlled by you, or acting for your benefit. If any legal action or other proceeding relating to adsitepro.com is brought, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and other costs incurred in bringing such action or proceeding, in addition to any other relief to which such party may be entitled.
INTELLECTUAL PROPERTY. The name “adsitepro.com” and the logo for adsitepro.com are owned tradenames and trademarks that have been applied to be registered trademarks with the U.S. Patent and Trademark Office. All adsitepro.com materials, copyrights, trademarks, tradenames, and other intellectual property are owned or controlled by or licensed solely to Ace 1 Group, Inc. and adsitepro.com.
MISCELLANEOUS. Unless you have entered into a separate written or electronic agreement with us that expressly references the TOU, this is the exclusive and entire agreement between adsitepro.com and you, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. Users complying with prior written licenses may access adsitepro.com thereby until authorization is terminated. Our actions or silence toward you or anyone else does not waive, modify, or limit the TOU or our ability to enforce it. The USE, TRADEMARKS, and CLAIMS & INDEMNITY sections survive termination of the TOU, and you will remain bound by those sections. If a TOU term is unenforceable, it shall be limited to the least extent possible and supplemented with a valid provision that best embodies the intent of the parties. The English version of the TOU controls over any translations.
